Terms of Service
Effective date: [Effective Date] · Last updated: [Last Updated Date]
These Terms are an agreement between you and [Company Legal Name] Limited, a company incorporated in Hong Kong with its registered address at [Company Address] (“we”, “us”). They apply to the [App Name] app and related services (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who can use the Service
- You must be at least 13 years old. Where local law requires parental consent below a higher age (up to 16, for example in parts of the EU), you must be at least that age or have consent from a parent or guardian where the law allows it.
- If you are under the age of majority where you live, a parent or guardian must agree to these Terms for you.
- You must not use the Service if we have previously banned you, or if the law where you live prohibits it.
2. Your account
- You sign up with a phone number or email address and a password. Give us accurate information and keep it up to date.
- Keep your password secret. You are responsible for activity on your account. Tell us at once at [support@yourdomain.com] if you think your account has been compromised.
- Accounts are personal. Do not sell, rent or transfer your account.
- You can delete your account at any time in the app (Me > Settings > Delete account) or by email. See Delete your account.
3. Zero tolerance for objectionable content and abusive users
We have zero tolerance for objectionable content and abusive behaviour. If you post such content or abuse other users, we will remove the content and may suspend or permanently ban your account without notice.
You must not use the Service to create, send, share or store anything that:
- sexually exploits or endangers children, including any child sexual abuse material (CSAM) or grooming (see our Child Safety Standards);
- is pornographic or sexually explicit content sent to people who did not ask for it, or any non-consensual intimate imagery;
- harasses, bullies, threatens, intimidates, stalks or doxxes anyone;
- promotes or incites violence, terrorism or violent extremism, or glorifies self-harm or suicide;
- is hate speech or attacks people based on race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, age or other protected characteristics;
- is defamatory, discriminatory or mean-spirited;
- is spam, a scam, phishing, a pyramid or Ponzi scheme, or other fraud;
- promotes illegal goods or services, including illegal drugs, weapons, gambling where it is illegal, or money laundering;
- impersonates any person or organisation, or misrepresents your identity;
- infringes anyone’s intellectual property, privacy or other rights;
- contains malware or tries to disrupt, reverse-engineer, scrape or gain unauthorised access to the Service or other users’ accounts;
- otherwise breaks any applicable law.
4. Reporting and blocking
- Report a message: long-press the message and choose Report.
- Report a user: open the user’s profile and choose Report.
- Block a user: open the user’s profile and choose Block. Blocked users can no longer send you messages. You can manage your blocklist in Me > Settings > Blocklist.
- You can also email reports to [support@yourdomain.com].
When you report something, the reported content and related context are sent to our moderation team. The reported user is not told who reported them.
5. Moderation and enforcement
- We review reports of objectionable content within 24 hours [confirm moderation SLA] and act on them.
- We may remove or restrict any content, and warn, suspend or permanently terminate any account, that we reasonably believe breaks these Terms or the law, or puts others at risk. Users who post objectionable content are ejected from the Service.
- We may use automated tools together with human review to detect spam and abuse.
- We report child sexual exploitation to the relevant authorities and to the U.S. National Center for Missing & Exploited Children (NCMEC), and we may share information with law enforcement where the law requires or a person’s safety is at risk.
- If you think we made a mistake, you can appeal by emailing [support@yourdomain.com] within [30] days.
- If your account is terminated, you may lose access to your messages, contacts and any red packet records shown in the app, subject to section 6 and applicable law.
6. Red packets
Red packets let you send amounts to other users in a chat. By using red packets you agree to the following:
- Ledger records. Red packet balances and transfers shown in the app are records kept on our server ledger. They are not bank deposits and are not covered by any deposit protection scheme.
- Custodian. The digital assets that back the ledger records are held by Cobo, a licensed third-party custodian, not by the app on your device. The custodian’s own terms may also apply. [Describe the user–custodian relationship once confirmed with Cobo and counsel.]
- No in-app withdrawal. The app does not provide a way to withdraw, cash out or redeem red packet amounts. [Describe any off-app process, if one exists, or remove this sentence.]
- Types and random amounts. A sender sets a total amount and a number of shares. In a normal red packet every share is equal. In a lucky red packet, each share is a random amount decided by our server when it is claimed; the shares add up to the total, and each share is at least [Minimum Share, e.g. 0.01]. Nobody, including us, chooses who gets which amount. Lucky red packets are a way of splitting a gift the sender has already paid for; you never pay to open one and they are not a game of chance with a stake.
- Expiry. Shares that are not claimed within [Expiry Period, e.g. 24 hours] expire and the unclaimed amount is returned to the sender’s ledger balance.
- Final. Once a share is claimed, the transfer cannot be reversed, except where we correct an error or are required by law.
- Limits and checks. We may set limits on amounts, frequency and number of shares, and may delay, block or reverse transactions we reasonably suspect are fraudulent, mistaken or illegal, or to meet anti-money-laundering, sanctions or other legal requirements. We may ask you to verify your identity.
- Regional availability. Red packets may not be available in every country or region, and we may restrict, change or stop the feature in some places at any time to comply with local law or app store rules.
- No financial advice. Nothing in the Service is investment, legal or tax advice. You are responsible for any taxes that apply to you.
- Prohibited use. You must not use red packets for gambling, fraud, money laundering, buying or selling illegal goods or services, or to evade sanctions.
7. Your content
You keep ownership of the content you send. You give us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display and process your content only as needed to operate, secure and improve the Service and to enforce these Terms. This licence ends when your content is deleted from our systems, except for copies we must keep by law or that other users have already received.
You are responsible for your content and confirm that you have the rights to share it.
8. Our Service
The Service, including its software, design and trademarks, belongs to us or our licensors. We give you a personal, non-transferable, revocable licence to use the app for its intended purpose under these Terms. The app includes open-source components, which are licensed under their own terms.
We may change, suspend or stop any part of the Service. If you download the Android app from our website, only download it from our official website: [Website URL]. We are not responsible for copies obtained elsewhere.
9. Disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we make no warranties, express or implied, including fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure or error-free. We are not responsible for the content or conduct of other users.
10. Limitation of liability
To the extent permitted by law, we and our affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or digital assets, arising out of or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim and (b) HKD [Liability Cap Amount, e.g. 800].
Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud. If you are a consumer, you keep any mandatory rights you have under the law of the country where you live.
11. Indemnity
To the extent permitted by law, you agree to compensate us for claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.
12. Apple App Store
If you downloaded the app from the Apple App Store, these Terms are between you and us, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support, and is not responsible for any product claims, intellectual property claims or warranty. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
13. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have [non-exclusive] jurisdiction over any dispute arising out of or relating to these Terms or the Service. If you are a consumer living in the EU/EEA, the UK or another place whose law gives you the right to bring proceedings in your local courts, you keep that right.
14. Changes to these Terms
We may update these Terms. If a change is material, we will tell you in the app or by other means before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, you should stop using the Service and delete your account.
15. General
If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms; we may transfer them to an affiliate or successor. If these Terms are translated, the English version prevails.
